鉴于:甲方实际出资购买房产一处,位于 。现甲、乙双方本着平等、自愿的原则,经协商一致,甲方委托乙方就代为持有该房屋产权及相关事宜达成协议如下,以兹共同遵照执行:

第二条 房产产权
1、甲、乙双方确认,虽然该房产仅登记在乙方名下,但该房产及相关附属设施的全部权利实际归甲方所有。与该房产相关的所有资料,包括采购合同,发票,房产证等必须由甲方保管。
2、甲方实际享有该房产及其附属设施完全的所有权(占有权、使用权、收益权、处分权)及其他附属权利,乙方仅以自己名义代为持有,不享有任何房产权利。代持期间,乙方应当配合甲方实现其房产权利。
3、未经甲方事前的书面同意,乙方不得将上述代持房产权益向知情或不知情的第三方转让、转委托代持、设定共同共有或担保,不得实施任何危及或可能危及甲方利益的行为。
4、若乙方未经甲方事前的书面同意,将上述代持房产权益向知情或不知情的第三方转让、转委托代持、设定共同共有或担保,或实施其他任何危及或可能危及甲方利益的行为,造成甲方损失的,甲方有权要求乙方就其全部损失承担赔偿责任,乙方应当承担的责任包括但不限于甲方的直接损失、间接损失,以及诉讼费、保全费、律师费等相关费用。
第三条 委托代持期间及费用
Article 3 Entrusted Period and Fee
1、代持期间自本协议生效之日起至双方协商终止时终止。
2、乙方受甲方委托代持房产期间不收取任何报酬。甲方承诺在该房产进行交易或转让其他人时,扣除掉所有成本,包括购房资金,购房发生的税费,以及购房资金对应的的同期银行利息后,产生的净收益中,支付5%给乙方作为报酬。
Party B shall not receive any remuneration during the period when it is entrusted by Party A to hold the property on its behalf. Party A undertakes to pay Party B 5% of the net income generated by the transaction or transfer of the property after deducting all costs, including the purchase funds, taxes and fees incurred in the purchase, and the corresponding bank interest of the purchase funds during the same period..
第四条 甲方权利与义务
Article 4 Rights and Obligations of Party A
1、因该房产所产生的租金等一切收益均由甲方享有与支配。
Party A shall enjoy and allocate all the rent and other income generated from the property.
2、因该房产使用或经营产生的房产税和营业税等相关税费、房产管理费、水电费、修缮费用、管理成本等相关费用均由甲方承担。
Party A shall bear the house property tax, business tax and other related taxes, property management fees, water and electricity fees, repair costs, management costs and other related expenses arising from the use or operation of the property.
3、因该房产造成他人的人身、财产损失的责任,及该房产发生毁损灭失风险由甲方承担。
Party A shall bear the liability for the personal and property losses caused to others by the property and the risk of damage and loss of the property.
第五条 乙方权利与义务
Article 5 Rights and Obligations of Party B
1、甲方同意,以乙方名义负责该房产的使用(包括:签订租赁合同、收取租金等)。
Party A agrees to take charge of the use of the property in the name of Party B (including signing a lease contract, collecting rent, etc.).
2、乙方确认,未经甲方事前的书面同意,乙方不得单方面将该房产对外出租、出售。
Party B confirms that it will not rent or sell the property unilaterally without Party A’s prior written consent.
3、自本协议签订之日起,乙方有义务配合甲方对该房产的管理、处分等一切事宜,乙方不得在任何时间、地点、以任何方式抗拒及干涉甲方行使权利,并不得撤销该授权委托。
Since the date of signing this agreement, Party B shall have the obligation to cooperate with party A in all matters such as the management and disposal of the property. It shall not resist or interfere with Party A’s exercise of rights at any time, place or in any way, and shall not revoke such authorization.
4、因房产由乙方代甲方持有,甲方将房产抵押给银行进行贷款,乙方有义务协助甲方办理贷款手续,还贷款的本金和贷款利息由甲方全部承担。
Since the property is held by Party B on behalf of Party A and Party A mortgages the property to the bank for loan, Party B shall have the obligation to coordinate Party A in handling the loan formalities, and Party A shall bear all the principal and interest of the loan.
第六条 争议解决
Article 6 Settlement of Disputes
凡因本协议引起的或与本协议有关的任何争议,由甲、乙双方协商解决。协商不成,任何一方可向房产所在地的人民法院提起诉讼。
Any dispute arising from or in connection with this agreement shall be settled by both parties through negotiation. In case the negotiation fails, either party may bring a lawsuit to the people's court where the property is located.
第七条 协议生效
Article 7 Effectiveness of the Agreement
1、本协议一式两份,双方各持一份,具有同等法律效力。
This Agreement shall be made in duplicate, with each party holding one copy, which shall have the same legal effect.
2、本协议自甲、乙双方签字之日起生效。
This Agreement shall come into force from the date of signing by both parties.
